1. The service
NextIntent watches how visitors move on your store or website and, when one of them gets stuck, says one short sentence drawn from facts you provide or that we read from your store: a return window, a free-shipping line, a product note. It never invents a fact and it never offers a discount you have not allowed. It reports what it did and what happened next.
NextIntent for Shopify is installed from the Shopify App Store and runs inside your Shopify admin. NextIntent for any website is installed with a script and run from the NextIntent console. These terms cover both.
2. Your account
On Shopify, your account is your store; the people Shopify lets into your admin can use the app. For the console, your account is the sign-in you create, and you are responsible for who you give access to.
You confirm that you own or are authorized to run the store or website you connect, that you have the right to the facts you give us, and that your policies are accurate. The sentence repeats your facts to your customers; if your return policy says 30 days and you honour 14, the sentence will be wrong and that is yours to fix.
3. What we promise, and what we do not
We promise that the sentence is built only from facts your store provides, that we show nothing to a visitor who is only browsing, that we go quiet for a day after a purchase, and that every sale we take credit for can be checked in the app: what the shopper read and how soon they bought.
We do not promise that any shopper will buy, that revenue will rise, or that the service is right for your store. We measure the effect for you by not helping a small share of stuck shoppers chosen at random, so the app can compare; that comparison is a method we use, and you can change it in Settings.
The service is provided as it is. We work to keep it available and correct, and we fix what breaks, but we do not guarantee that it is free of errors or interruptions.
4. Charges
Watch mode is free. It shows you where shoppers get stuck and why, and sends the weekly summary. Nothing is shown to shoppers.
Active mode charges 5% of each order from a shopper NextIntent helped, placed within seven days of the sentence they were shown, counted once per order, under a monthly maximum you approve in Shopify. Shopify bills it on your Shopify invoice. There are no other charges, no tiers and no charge for a month in which it helped nobody buy.
When the month's charges reach your maximum, the app pauses active mode and shows you what the pause is costing. Raising the maximum in Shopify resumes it. We never raise it for you.
If your own popup tool or your own code is used to show the sentence and does not confirm what it shows, the shoppers we hand to it count as helped. This is the rule shown at the moment you approve the plan, and it exists so that a store cannot have the help and avoid the charge.
A charge is not reversed when the order is later refunded. We say this plainly because it is how the service works today; if a charge is wrong for another reason, write to us and we will correct it.
For NextIntent for any website, charges are as stated in the console when you choose a plan.
5. Your data and your customers' data
How we handle data is set out in the Privacy policy, and for businesses that need one, the Data processing agreement, which forms part of these terms. In short: we read how shoppers move, not who they are; names, email addresses, phone numbers and addresses never reach us; and anything typed is hashed on the page.
You are responsible for telling your own customers that you use NextIntent where your law requires it. The privacy page in our documentation has wording you can use.
6. Acceptable use
You agree not to use the service to deceive shoppers, to give it facts you know to be false, to interfere with its measurement (for example by blocking the confirmation that a sentence was shown while still showing it), to probe or overload it, or to use it for a store that sells what the law where the shopper lives forbids. We may suspend a store that does.
7. Ending the service
You can stop at any time: turn messages off, turn the theme app embed off, or uninstall. Uninstalling stops all charges after the current month's counted orders are billed. Forty-eight hours after uninstall, Shopify tells us the store is gone and we erase its data. Console accounts can be closed from the console and are erased within 30 days.
We may end the service for a store that breaks these terms, or on 30 days' notice for any reason, in which case charges stop at once.
8. Liability
To the extent the law allows, our total liability to you for anything arising from the service in a year is limited to the charges you paid us in that year, and we are not liable for lost profits, lost sales, or indirect losses. Nothing in these terms limits liability that the law does not allow to be limited.
9. Changes to these terms
We post changes here with a new date. If a change affects what you pay or what we promise, we tell you by email at least 30 days before it applies. Continuing to use the service after that date means you accept the change.
